The BOC Henderson Club Visa Signature Card is a co-branded credit card presented by Henderson Club Limited and BOC Credit Card (International) Limited. Henderson Club Membership (effective now)

These Terms and Conditions are binding on all members ("Members") of the Henderson Club (the "Club") operated by Henderson Club Limited and constitute a contract between the Club and each Member as if it has been signed by each party. By signing the application form for "BOC Henderson Club Visa Platinum Card" (the "Henderson Card") and upon its approval by BOC Credit Card (International) Limited ("BOCCC"), the applicant agrees to be bound by these Terms and Conditions (as may from time to time be in force).

MEMBERSHIP

  1. The minimum age requirement for a Member is 18 years of age.
  2. All applications for Membership shall be subject to the approval of the Club, which it may give or withhold at its absolute discretion and without giving any reason therefor.
  3. Members have no voting right as to the constitution, operation or management of the Club nor any right in or any claim over any assets of the Club.
  4. Membership of the Club is non-transferable.

MEMBERSHIP CARD

  1. The Henderson Card will serve as both a credit card and the Henderson Club Membership Card.
  2. The Club reserves the right at any time to revoke and/or terminate the Membership of any Member without giving any reason therefor or prior notice and to require the Henderson Card to be returned to BOCCC upon request immediately.
  3. The Henderson Card may only be used by the Member to whom the Henderson Card was issued and the Henderson Card is not transferable. The valid Henderson Card must be produced as proof of Membership to enable the Member to enjoy the facilities and services provided by the Club offered to Members.
  4. If the Henderson Card is lost, damaged or stolen, it should be reported immediately to BOCCC and the Club.

FACILITIES AND SERVICES

  1. Members will be eligible to receive and enjoy the facilities and services provided by the Club subject to the Club's invitation and any specific terms and conditions imposed by the Club in relation to such facilities and services. Invitation to Members shall be at the absolute discretion of the Club.
  2. The Club shall have the right, at any time at its absolute discretion without giving any notice or reason to terminate or suspend the operation, provision and/or availability of any facility or service.
  3. The Club shall not be responsible for the refusal of any persons including any merchants or stores to honour the Henderson Card nor shall it be responsible in any way for the goods and/or services supplied by them to any Member.
  4. No Member shall make use of the Club or the facilities, services, information or documents provided or procured by the Club for any commercial, immoral, illegal purposes, or other purposes.

THE CLUB'S RESPONSIBILITIES

  1. The Club shall have no responsibility or liability whatsoever to any Member or any other person for any loss, damage, injury, costs, charges or expenses of any kind howsoever (whether directly or indirectly) caused or arisen from any act, omission or default as a result of or in connection with the Member's Membership of the Club.

REIMBURSEMENT OF COST BY MEMBER

  1. The Club reserves the right to require a Member to reimburse the Club of all costs and expenses incurred by it in the provision and/or delivery of any information or documents requested by the Member.

AMENDMENT OF TERMS AND CONDITIONS

  1. The Club shall have absolute discretion and right to amend these Terms and Conditions from time to time and may notify Members of such amendments in any manner it considers fit. All Members shall be bound by such amendments unless for whatever reason on the record of the Club the membership has been terminated before the date specified in the notification upon which the amendments are to take effect.

RESIGNATION

  1. Any Member who wishes to resign from his/her Membership shall give to the Club at least 7 days advance notice in writing to that effect. The Henderson Card issued to him/her must be surrendered to BOCCC.
  2. The membership of Henderson Club will be terminated automatically in the event that his/her Henderson Card has been terminated by the Member for whatever reason.

EXPULSION OF MEMBERS

  1. The Club may, if it considers that any Member has behaved in any way injurious to the Club or prejudicing the interests of the Club or has committed any breach of these Terms and Conditions, expel the Member from Membership of the Club and the decision of the Club shall be final and conclusive.
  2. A Member who has been expelled from the Club shall cease to have any rights, benefits or privileges of the Membership and shall no longer have any rights to enjoy the facilities and services provided by the Club and shall immediately upon receipt of the notice of expulsion, surrender his/her Henderson Card to BOCCC.
  3. The Henderson Club membership shall be terminated automatically in the event that his/her Henderson Card is terminated by BOCCC for whatever reason.

TERMINATION OF OPERATION OF THE CLUB

  1. Henderson Club Limited shall have the right at any time at its absolute discretion without giving any notice or reason to Members to terminate the operation of the Club. Upon the termination of the operation of the Club, all rights and privileges of Members shall be ceased. No claim or demand of whatsoever nature and howsoever arising shall be made or capable of being made by Members against the Club, the directors, shareholders or members of management of Henderson Club Limited in connection with such termination.

PERSONAL DATA

  1. Supply of personal data to the Club by the applicant for applying Membership of the Club or by the Member is voluntary. Each applicant for Membership is required to supply all the personal data and other information requested by the Club herein in order to enable the Club to consider his/her application. Failure to do so may result in the Club being unable to process the application. If the application is successful, the Club shall have the right to collect further personal data and information in any manner during the period when a Member's Membership is effective and/or continues.
  2. Personal data and information relating to an applicant or Member may be used by the Club to facilitate or in connection with any and all of the following purposes:
    1. processing application for Membership;
    2. assessing and/or verifying of information supplied to the Club;
    3. conducting researches and/or analysis from time to time for any purpose of the Club and/or any member of Henderson Land Development Company Limited and its subsidiaries and associated companies (the "Group");
    4. providing privileges, benefits and other advantages to the Members and rallying and arranging for the same to be provided by any other person including any member of the Group or any other firm, company, corporation, body or organization designated by the Club (collectively, a "Relevant Person");
    5. designing, providing and marketing to Members or customers general facilities, services and/or products of the Club, any member of the Group or any Relevant Person;
    6. promoting, improving and/or furthering the provision of facilities, services and/or products to Members or customers generally by the Club, any member of the Group or any Relevant Person;
    7. facilitating communication between Members and the Club and any member of the Group and encouraging feed-back from Members on their needs and expectations of facilities, services and/or products of the Club, any member of the Group or any Relevant Person;
    8. matching for whatever purpose (whether or not with a view to taking any adverse action against any applicant or Member)with other personal data relating to him/her in the possession or control of the Club and/or any other person;
    9. meeting any requirements to make disclosure under any applicable laws and regulations;
    10. any other purpose which an applicant or Member may from time to time agree.
  3. The Club will keep personal data and information relating to applicants and Members confidential but the Club shall have absolute right to disclose, transfer (whether within or outside the Hong Kong Special Administrative Region)and/or exchange any such data and information to or with any and all of the following persons or entities :
    1. any member of the Group;
    2. any Relevant Person; and/or
    3. any agent, contractor or third party service provider who provides administrative, telecommunications, computer or other services to the Club or any member of the Group in connection with their respective operations or provision of facilities, services and/or products to Members.
  4. In particular, such personal data and information may be used for direct marketing of facilities, services and/or products offered by the Club, any member of the Group or any Relevant Person from time to time unless and until a written request is received from the relevant Member to stop using his/her data for direct marketing purposes.
  5. Each Member has the right to request access to and correction of any of his/her personal data. The Club has the right to charge a reasonable fee for the processing of any data access request. The Club will comply with any such request unless it may or is required to refuse to do so under the applicable laws and regulations.

APPLICABLE LAW

  1. These Terms and Conditions shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.

GOVERNING VERSION

  1. The English version of these Terms and Conditions shall prevail wherever there is any discrepancy between the English and Chinese versions.

TERMS AND CONDITIONS FOR HENDERSON CLUB MEMBERSHIP
(with effect from January 1, 2017)

(applicable to all Henderson Club members including BOC Henderson Club Visa Card cardholders)

PLEASE NOTE

The Henderson Club (the "Club") is offered and operated by Henderson Club Limited ("HCL"). These Terms and Conditions are binding on all members of the Club ("Members") including holders of credit cards issued by BOC Credit Card (International) Limited ("BOCCC") under a co-branded card arrangement ("BOC Henderson Club Co-branded Card Program") between HCL and BOCCC. These Terms and Conditions constitute a contract between HCL and each Member that governs matters relating to the Club membership ("Membership"). You should read these Terms and Conditions carefully before applying for Membership or (where applicable) a credit card under the BOC Henderson Club Co-branded Card Program ("BOC Henderson Club Visa Card"). Your application for Membership or BOC Henderson Club Visa Card represents your acceptance of these Terms and Conditions and you will be bound by them upon approval of your application. If you are a BOC Henderson Club Visa Card cardholder, BOCCC will transfer your personal data collected by BOCCC during the BOC Henderson Club Visa Card application process to HCL for the sole purpose of Membership maintenance.

OFFERING AND OPERATION OF THE CLUB AND MEMBERSHIP

  1. HCL has discretion in offering and operating the Club and Membership in such manner as it considers appropriate from time to time. HCL has the right to specify and vary the features of the Club and Membership and other matters relating to them with or without giving notice or reason. These features and matters include the following:
    1. designate one or more tiers of Membership, and the admission criteria and terms and conditions applicable to each tier;
    2. how an application for Membership should be made (including the channels and means for making application);
    3. offer to Members facilities, services, products, benefits and privileges (including any reward program) of any type and nature and in any manner (including through electronic means) as it considers appropriate ("Membership Benefits") and prescribe the terms and conditions governing the supply and use of the respective Membership Benefits;
    4. enter into any co-branding or cooperative arrangement with any person (each, an "HCL Partner") for the purposes of the Club or Membership. HCL Partners may include BOCCC, retail merchants, service providers, real estate developers, financial institutions, credit card issuers, charitable bodies and non-profit making organisations which provide Membership Benefits or participate in any co-branded card program, promotional campaign or other events or activities relating to the Club. An HCL Partner may or may not be a subsidiary or associated company of Henderson Land Development Company Limited (Henderson Land Development Company Limited and all of its subsidiary and associated companies collectively, "Henderson Land Group");
    5. designate the eligibility criteria for Membership and Membership Benefits (including offering any tier of Membership or any Membership Benefits by invitation only);
    6. prescribe expiration date for any Membership;
    7. offer any Membership with or without any co-branding arrangement;
    8. vary, suspend or terminate any tier of Membership or any Membership Benefits; and
    9. vary, suspend or terminate the Club and all Memberships.
  2. The minimum age requirement for a Member is 18 years of age.
  3. HCL is entitled to approve or refuse an application for Membership without giving any reason. HCL also has the right to offer any tier of Membership by invitation only.
  4. Membership does not give a Member any voting or other right relating to (i) the constitution, operation or management of HCL and/or the Club or (ii) any assets or properties of HCL and/or the Club.

MEMBERSHIP CARD

  1. A membership card will be issued to each Member ("Membership Card"). The Membership Card may be issued in physical, virtual, electronic, digital and/or any other form. The Membership Card may be issued to you by HCL. A BOC Henderson Club Visa Card issued by BOCCC may also function as a Membership Card. The Membership Card is the property of HCL. The BOC Henderson Club Visa Card is the property of BOCCC. You should return the Membership Card or the BOC Henderson Club Visa Card to its issuer if requested.
  2. Membership and Membership Card are for your personal use only and are not transferable. HCL has the right to require you to present your Membership Card as proof of Membership to enable you to enjoy Membership Benefits.
  3. If your Membership Card or BOC Henderson Club Visa Card is lost, damaged or stolen, you should notify its issuer as soon as reasonably practicable. The issuer may issue a replacement card as it considers appropriate and reserves the right to charge the cost and a reasonable handling fee for the replacement card.

MEMBERSHIP BENEFITS

  1. You may enjoy Membership Benefits subject to the terms and conditions applicable to the relevant Membership Benefits. As regards any Membership Benefits, if there is any inconsistency between the terms and conditions applicable to such Membership Benefits and these Terms and Conditions, the former shall prevail.
  2. HCL has the right to offer any Membership Benefits by invitation only. HCL also has the right to revise, withdraw or terminate any Membership Benefits without giving notice or reason.
  3. HCL is not responsible for the refusal of any persons including any HCL Partners to accept the Membership Card or provide Membership Benefits. HCL is also not responsible for any facilities, services, products, benefits or privileges provided by any such persons to you.
  4. You should use or enjoy your Membership and Membership Benefits in good faith and in a responsible manner. You should not use your Membership, any Membership Benefits or any information or documents provided or procured by HCL for any commercial purpose or in any contentious, immoral, illegal or other inappropriate manner.

YOUR DUTY TO TAKE SECURITY MEASURES

  1. You are responsible for taking reasonable steps to safeguard your Membership Card, BOC Henderson Club Visa Card and any security information (including personal identification number, password, passcode or other identification credentials) designated to control access or use of Membership Benefits.

EXCLUSION OF LIABILITY

  1. HCL is not responsible to you or any other person for any loss, damage, injury, costs, charges or expenses of any kind which may be suffered or incurred as a result of or in connection with the use of your Membership or any Membership Benefits unless caused directly and solely by any negligence or wilful default of HCL or any of its officers or employees.
  2. In no circumstances will HCL be responsible to you or any other person for any indirect, incidental, special or consequential loss (including any loss of benefits or property damage) arising from or in connection with its providing, or failure or delay in providing, the Membership or any Membership Benefits.

FEES AND EXPENSES

  1. HCL has discretion to charge or waive fees and expenses payable by you in relation to your Membership, including where HCL provides or delivers information or documents at your request.

AMENDMENT OF TERMS AND CONDITIONS

  1. HCL has the right to amend these Terms and Conditions from time to time by giving notice to you in any manner it considers appropriate. If HCL does not receive your request to terminate your Membership with effect before the effective date of the amendments, you shall be bound by such amendments.

TERMINATION OF MEMBERSHIP OR THE CLUB

  1. Termination of Membership by you
    1. Subject to Clause 17(b) below, you may terminate your Membership at any time by giving HCL at least 21 days advance notice in writing and returning to HCL your Membership Card.
    2. Where you hold a BOC Henderson Club Visa Card, you may have to terminate your BOC Henderson Club Visa Card in order to terminate your Membership. In that case, you have to follow the terms and procedures prescribed by BOCCC for terminating your BOC Henderson Club Visa Card.
    3. Whether you terminate your Membership in the manner set out in Clause 17(a) or 17(b) above, HCL will notify you of the effective date of termination of your Membership as soon as reasonably practicable.
  2. Termination or suspension of Membership by HCL
    1. HCL has the right, if it considers reasonable or appropriate, to terminate or suspend your Membership at any time. These cases may include your failure to perform your obligations under these Terms and Conditions or otherwise in relation to your Membership, or your conduct, behaviour or inaction having actual or potential adverse effect on HCL and/or the Club or being or is likely to be prejudicial to the interests of HCL and/or the Club. Any decision of HCL to terminate or suspend your Membership is final, conclusive and binding on you. Upon the termination or suspension of your Membership by HCL, HCL is entitled not to accept your BOC Henderson Club Visa Card as Membership Card.
    2. Without reducing or limiting HCL's right in Clause 18(a) above, HCL may terminate your Membership by giving you reasonable advance notice in writing without giving any reason.
  3. Termination or suspension of the Club or any tier of Membership by HCL

    HCL has the right to terminate or suspend the Club or any tier of Membership at any time if it considers reasonable or appropriate without giving reason. HCL may where practicable (but is not under any obligation to) give reasonable advance notice to the affected Members.
  4. Consequences of termination or suspension
    1. Neither HCL nor any of its shareholders, directors or other officers is liable for any claim or compensation of any nature to you or any other person in connection with termination or suspension of your Membership, any tier of Membership or the Club.
    2. Upon termination or suspension of your Membership, any tier of Membership or the Club, your Membership Benefits and the Membership Benefits of the affected Members will be terminated subject to any alternative arrangement as HCL may specify in its discretion.
    3. Even after your Membership is terminated (whether by you or by HCL) or suspended for any reason, you remain responsible for performing your obligations relating to your Membership which have accrued before termination or suspension. You continue to be bound by these Terms and Conditions to the extent that they relate to such obligations.

PERSONAL DATA

  1. You understand and agree that your personal data may be collected, compiled, used and disclosed by HCL for such purposes and to such persons in accordance with HCL's personal data policies as set out in notices, statements or terms and conditions which may be provided by HCL from time to time.

Terms and Conditions for Henderson Club Membership
(effective now)

These Terms and Conditions are binding on all members (“Members”) of the Henderson Club (the “Club”) operated by Henderson Club Limited (“HCL”) and constitute a contract between HCL and each Member as if it has been signed by each party. By applying for a Henderson Club Membership (“Membership”) through signing the application form for Henderson Club Membership Card (“Membership Card”) and upon its approval by HCL, the applicant agrees to be bound by these Terms and Conditions (as may from time to time be in force).

MEMBERSHIP

  1. The minimum age requirement for a Member is 18 years of age.
  2. All applications for Membership shall be subject to the approval of HCL, which it may give or withhold at its absolute discretion and without giving any reason therefor.
  3. Members have no voting right as to the constitution, operation or management of HCL and/or the Club nor any right in or any claim over any assets or properties of HCL and/or the Club.
  4. Membership of the Club is non-transferable.

MEMBERSHIP CARD

  1. The Membership Card will serve as a membership card of the Club.
  2. HCL and/or the Club reserve the right at any time to revoke and/or terminate the Membership of any Member without giving any reason therefor or prior notice and to require the Membership Card to be returned to HCL upon request immediately.
  3. The Membership Card may only be used by the Member to whom the Membership Card was issued and the Membership Card is not transferable. The valid Membership Card must be produced as proof of Membership to enable the Member to enjoy the privileges, facilities, services and/or products provided by HCL and/or the Club offered to Members.
  4. If the Membership Card is lost, damaged or stolen, it should be reported immediately to HCL.

PRIVILEGES, FACILITIES AND SERVICES

  1. Members will be eligible to receive and enjoy the privileges, facilities and services and/or products provided by HCL and/or the Club subject to HCL’s and/or the Club’s invitation and any specific terms and conditions imposed by the HCL and/or the Club in relation to such privileges, facilities and services and/or products. Invitation to Members above shall be at the absolute discretion of HCL.
  2. HCL shall have the right, at any time at its absolute discretion without giving any notice or reason to terminate or suspend the operation, provision and/or availability of any privilege, facility, service and/or product.
  3. HCL shall not be responsible for the refusal of any persons including any merchants, service providers or stores to honour the Membership Card nor shall it be responsible in any way for the services and/or products supplied by them to any Member.
  4. No Member shall make use of the Club or the privileges, facilities, services and/or products, information or documents provided or procured by HCL and/or the Club for any commercial, immoral, illegal purposes, or other purposes.

HCL’S RESPONSIBILITIES

  1. HCL shall have no responsibility or liability whatsoever to any Member or any other person for any loss, damage, injury, costs, charges or expenses of any kind howsoever (whether directly or indirectly) caused or arisen from any act, omission or default as a result of or in connection with the Member’s Membership.

REIMBURSEMENT OF COST BY MEMBER

  1. HCL reserves the right to require a Member to reimburse HCL of all costs and expenses incurred by it in the provision and/or delivery of any information or documents requested by the Member.

AMENDMENT OF TERMS AND CONDITIONS

  1. HCL shall have absolute discretion and right to amend these Terms and Conditions from time to time and may notify Members of such amendments in any manner it considers fit. All Members shall be bound by such amendments unless for whatever reason on the record of HCL and/or the Club the Membership has been terminated before the date specified in the notification upon which the amendments are to take effect.

RESIGNATION

  1. Any Member holding the Membership Card who wishes to resign from his/her Membership shall give to HCL at least 7 days advance notice in writing to that effect and surrender his/her Membership Card to HCL.

EXPULSION OF MEMBERS AND TERMINATION OF MEMBERSHIP

  1. HCL may, if it considers that any Member has behaved in any way injurious to HCL and/or the Club or prejudicing the interests of HCL and/or the Club or has committed any breach of these Terms and Conditions, expel the Member from the Membership and the decision of HCL shall be final and conclusive. HCL’s above right to expel any Member shall be in addition to and shall not in any way affect or limit HCL’s rights of termination pursuant to other provisions of these Terms and Conditions.
  2. The Membership of any Member will be terminated automatically and immediately in the event that his/her Membership Card has expired or has been terminated or deemed invalid for whatever reason.
  3. Any Member whose Membership has been terminated or who has been expelled from the Club for whatever cause shall cease to have any rights, benefits or privileges of the Membership and shall no longer have any rights to enjoy the privileges, facilities ,services and/or products provided by the Club and shall immediately surrender his/her Membership Card to HCL.

HCL’S OTHER RIGHTS OF TERMINATION

  1. HCL shall have the right at any time at its absolute discretion without giving any notice or reason to Members to terminate the operation of HCL and/or the Club. Upon such termination, all rights, benefits and privileges of Members shall automatically and immediately be ceased.
  2. HCL shall further have the right at any time at its absolute discretion terminate all or any category(ies) of the Membership Card whereupon the Membership together with all privileges, facilities, services and/or products of the Members holding a Membership Card of the terminated category(ies) shall automatically and immediately be terminated or subject to any alternative arrangement as may be decided and announced by HCL in its absolute discretion.
  3. No claim or demand of whatsoever nature and howsoever arising shall be made or capable of being made by Members against HCL, the directors, shareholders or members of management of HCL in connection with any of the above termination.

PERSONAL DATA

  1. Supply of personal data to HCL by the applicant for applying Membership or by the Member is voluntary. Each applicant for Membership is required to supply all the personal data and other information requested by HCL in order to enable HCL to consider his/her application. Failure to do so may result in HCL being unable to process the application. If the application is successful, HCL shall have the right to collect further personal data and information in any manner during the period when a Member’s Membership is effective and/or continues.
  2. In addition to 1) above, personal data and information relating to an applicant or Member may be used by HCL to facilitate or in connection with any and all of the following purposes:
    1. administrating and managing the Club and the personal data of its Members;
    2. processing application for Membership;
    3. assessing and/or verifying of information supplied to HCL;
    4. conducting researches and/or analysis from time to time for any purpose of HCL and/or any member of Henderson Land Development Company Limited and its subsidiaries and associated companies (collectively, the “Group”);
    5. providing shopping, dining, living, travel, health care, leisure, entertainment, lifestyle, real estate or other privileges, facilities, services and/or products and other advantages to the Members and rallying and arranging for the same to be provided by any other person including any member of the Group or any other firm, company, corporation, body or organization having association or cooperation of any kind with HCL and/or any member of the Group (each a “Relevant Person”);
    6. designing and providing to Members or customers shopping, dining, living, travel, health care, leisure, entertainment, lifestyle, real estate or other privileges, facilities, services and/or products of HCL, any member of the Group or any Relevant Person;
    7. improving and/or furthering the provision of shopping, dining, living, travel, health care, leisure, entertainment, lifestyle, real estate or other privileges, facilities, services and/or products to Members or customers by HCL, any member of the Group or any Relevant Person;
    8. facilitating communication between Members and the Club and any member of the Group and encouraging feed-back from Members on their needs and expectations of privileges, facilities, services and/or products of the Club, any member of the Group or any Relevant Person;
    9. matching for whatever purpose (whether or not with a view to taking any adverse action against any applicant or Member) with other personal data relating to him/her in the possession or control of HCL and/or any other person;
    10. meeting any requirements to make disclosure under any applicable laws and regulations; and
    11. any other purpose which an applicant or Member may from time to time be notified and/or agree.
  3. HCL will use its best endeavours to keep personal data and information relating to applicants and Members confidential but in connection with one or more purposes in 1) and 2) above, HCL shall have right to disclose, transfer (whether within or outside the Hong Kong Special Administrative Region of the People’s Republic of China) and/or exchange any such data and information to or with any and all of the following persons or entities:
    1. any member of the Group;
    2. any Relevant Person; and/or
    3. any agent, contractor or third party service provider who provides administrative, telecommunications, computer or other services to HCL, any Relevant Person or any member of the Group in connection with their respective operations or provision of privileges, facilities, services and/or products to Members.
  4. Each Member shall inform HCL in writing of any update to personal data supplied to HCL.
  5. Each Member has the right to request access to and correction of any of his/her personal data by writing to the Club’s Personal Data Officer by post (71/F, Two International Finance Centre, 8 Finance Street, Central, Hong Kong. Attention to: Personal Data Officer of Henderson Club) or by email (info@hldclub.com). HCL has the right to charge a reasonable fee for the processing of any data access or correction request. HCL will comply with any such request unless it may or is required to refuse to do so under the applicable laws and regulations.

DIRECT MARKETING

  1. Personal data and information supplied by a Member in his/her application for Membership including his/her name, address, teleMobile Number and email address are intended to be used for direct marketing (for which HCL may or may not be remunerated) of shopping, dining, living, travel, health care, leisure, entertainment, lifestyle, real estate or other privileges, facilities, services and/or products offered by HCL and/or the Club, any member of the Group, any Relevant Person, any agent, contractor or third party service provider of the above parties from time to time.
  2. No direct marketing materials will be sent by HCL to a Member without the Member’s consent.
  3. Each Member has the right to withdraw his/her consent given to HCL and/or the Club to use his/her personal data for direct marketing purpose from time to time by writing to the Club’s Personal Data Officer by post (71/F, Two International Finance Centre, 8 Finance Street, Central, Hong Kong.   1. The Henderson Club (the "Club") is offered and operated by Henderson Club Limited ("HCL"). This Statement applies to the personal data from time to time provided by or for you in relation to the Club membership and other personal data compiled by HCL starting from your application for Club membership or admission as a Club member (as applicable) and throughout the continuation of your Club membership (collectively, "Your Personal Data"). You are required to provide personal data to enable HCL to process your application for Club membership or admission as a Club member (as applicable) and handle matters relating to the Club membership. USE OF YOUR PERSONAL DATA

  1. HCL may use Your Personal Data for one or more of the following purposes from time to time:
    1. consider and assess your application for Club membership and process your admission as a Club member as appropriate;
    2. handle and administer any matters in relation to your Club membership and communicate with you on such matters. These matters may include verifying personal data or other information about you, providing and maintaining your Club membership, providing Membership Benefits to you, and investigating and handling any enquiries or complaints from or against you;
    3. administer, maintain and manage the Club and Club membership generally, including improving Membership Benefits and Club member experience;
    4. design, arrange, procure and provide Membership Benefits of any type and nature;
    5. process your request or application for Membership Benefits;
    6. conduct surveys, research and analysis in connection with the Club, Club membership and Membership Benefits, whether relating to you or to Club members generally;
    7. marketing any services, products and facilities provided by HCL, Henderson Land Development Company Limited or any of its subsidiaries and associated companies ( Henderson Land Development Company Limited and all of its subsidiaries and associated companies collectively, "Henderson Land Group" or "Henderson Land Group Members") or any other person (whether or not a Henderson Land Group Member) who has made any co-branding or cooperative arrangement with HCL (each, an "HCL Partner"), please see further details in "Use of Your Personal Data in direct marketing" section below);
    8. calculate any amount payable by you or by HCL, and collect or recover any amount payable by you;
    9. comply with any obligations or requirements for using or disclosing personal data that are imposed on HCL or any Henderson Land Group Members by any law or regulations, or by any governmental agency, regulatory authority or law enforcement agency, or by any court or judicial body, whether in or outside of Hong Kong existing currently or in the future;

DISCLOSURE OR TRANFER OF YOUR PERSONAL DATA

  1. HCL will keep Your Personal Data confidential but may disclose or transfer Your Personal Data to one or more of the following classes of persons from time to time for the purposes set out in paragraph 3 above, and Your Personal Data may be transferred in or outside of Hong Kong:
    1. any of the Henderson Land Group Members and HCL Partners for purposes relating to the Club, Membership Benefits or your Club membership;
    2. agents, contractors, sub-contractors or service providers (including their employees, directors, officers, agents, contractors, service providers and professional advisers) who provide services or support to HCL in connection with the Club business or the business or operations of HCL. These services or support may include banking services, insurance services, computer, information technology, data processing or storage, telecommunications services, mailing and logistic and administrative services. These agents, contractors, sub-contractors or service providers may or may not be Henderson Land Group Members;
    3. persons who owe a duty of confidentiality to HCL. These persons may include accountants, auditors, legal advisers and other professional advisers of HCL;
    4. persons to whom HCL or any Henderson Land Group Member is under any obligations or requirements to disclose personal data by any law or regulations, or by any governmental agency, regulatory authority or law enforcement agency, or by any court or judicial body;
    5. persons to whom HCL is required to disclose personal data by any policies and measures implemented by it or Henderson Land Group for prevention or detection of money laundering, terrorist financing or other unlawful activities or suspicious activities;
    6. for marketing purposes, (i) Henderson Land Group Members, (ii) HCL Partners (and the names of these HCL Partners can be found in the request or application form or information leaflet relating to the relevant Membership Benefits) and (iii) service providers engaged by HCL (and these service providers may include printing, advertising, market research, marketing, telemarketing and direct sales agencies and mailing agencies); and
    7. actual or potential assignees of the Club business, or actual or potential purchasers or assignees of HCL or its business.

      1. consumer goods and services, including food and beverages, fine dining, clothing and apparel, fashion and accessories, foot-ware, lifestyle and leisure products, amenities and entertainment, travelling services, sports goods, toys and children goods, beauty and personal care, healthcare, dental and medical services and products, groceries, supermarkets, delicatessen and convenient stores, books and magazines, home furnishing, electrical appliances, audio and video products, optical products, and jewellery, watches and other luxurious goods;
      2. real estate properties or property developments offered by any Henderson Land Group Member singly or jointly with any other developer or person;
      3. financial, investment, banking, insurance, credit cards and related products and services; and
      4. donations or contributions for charitable or non-profit making purposes and related events or activities.
    3. Providers of products, services and subjects to be marketed

      The above products, services and subjects may be provided by one or more of the following classes of persons:
      1. HCL;
      2. any Henderson Land Group Members; and
      3. any HCL Partners (and the names of these HCL Partners can be found in the request or application form or information leaflet relating to the relevant Membership Benefits). HCL Partners may include retail merchants, service providers, real estate developers, financial institutions, charitable bodies and non-profit making organisations.

ACCESS OR CORRECTION OF YOUR PERSONAL DATA

  1. You have the right to make data access request and data correction request to HCL about Your Personal Data. You also have the right to withdraw or give consent for use of Your Personal Data in direct marketing from time to time.   4. If the Henderson Card is lost, damaged or stolen, it should be reported immediately to BOCCC and the Club.

FACILITIES AND SERVICES

  1. Members will be eligible to receive and enjoy the facilities and services provided by the Club subject to the Club's invitation and any specific terms and conditions imposed by the Club in relation to such facilities and services. Invitation to Members shall be at the absolute discretion of the Club.
  2. The Club shall have the right, at any time at its absolute discretion without giving any notice or reason to terminate or suspend the operation, provision and/or availability of any facility or service.
  3. The Club shall not be responsible for the refusal of any persons including any merchants or stores to honour the Henderson Card nor shall it be responsible in any way for the goods and/or services supplied by them to any Member.
  4. No Member shall make use of the Club or the facilities, services, information or documents provided or procured by the Club for any commercial, immoral, illegal purposes, or other purposes.

HCL’S RESPONSIBILITIES

  1. EXPULSION OF MEMBERS

  1. The Club may, if it considers that any Member has behaved in any way injurious to the Club or prejudicing the interests of the Club or has committed any breach of these Terms and Conditions, expel the Member from Membership of the Club and the decision of the Club shall be final and conclusive.
  2. A Member who has been expelled from the Club shall cease to have any rights, benefits or privileges of the Membership and shall no longer have any rights to enjoy the facilities and services provided by the Club and shall immediately upon receipt of the notice of expulsion, surrender his/her Henderson Card to BOCCC.
  3. The Club may, at its absolute discretion, terminate the Henderson Club Membership of a Member in the event that the Henderson Card of such Member is terminated for whatever reason. The Club shall notify the Member of any such termination of Membership in any manner it considers fit.

TERMINATION OF OPERATION OF THE CLUB

  1. Henderson Club Limited shall have the right at any time at its absolute discretion without giving any notice or reason to Members to terminate the operation of the Club. Upon the termination of the operation of the Club, all rights and privileges of Members shall be ceased. No claim or demand of whatsoever nature and howsoever arising shall be made or capable of being made by Members against the Club, the directors, shareholders or members of management of Henderson Club Limited in connection with such termination.

PERSONAL DATA

  1. Supply of personal data to the Club by the applicant for applying Membership of the Club or by the Member is voluntary. Each applicant for Membership is required to supply all the personal data and other information requested by the Club herein in order to enable the Club to consider his/her application. Failure to do so may result in the Club being unable to process the application. If the application is successful, the Club shall have the right to collect further personal data and information in any manner during the period when a Member's Membership is effective and/or continues.
  2. Personal data and information relating to an applicant or Member may be used by the Club to facilitate or in connection with any and all of the following purposes:
    1. processing application for Membership;
    2. assessing and/or verifying of information supplied to the Club;
    3. conducting researches and/or analysis from time to time for any purpose of the Club and/or any member of Henderson Land Development Company Limited and its subsidiaries and associated companies (the "Group");
    4. providing privileges, benefits and other advantages to the Members and rallying and arranging for the same to be provided by any other person including any member of the Group or any other firm, company, corporation, body or organization designated by the Club (collectively, a "Relevant Person");
    5. designing, providing and marketing to Members or customers general facilities, services and/or products of the Club, any member of the Group or any Relevant Person;
    6. promoting, improving and/or furthering the provision of facilities, services and/or products to Members or customers generally by the Club, any member of the Group or any Relevant Person;
    7. facilitating communication between Members and the Club and any member of the Group and encouraging feed-back from Members on their needs and expectations of facilities, services and/or products of the Club, any member of the Group or any Relevant Person;
    8. matching for whatever purpose (whether or not with a view to taking any adverse action against any applicant or Member) with other personal data relating to him/her in the possession or control of the Club and/or any other person;
    9. meeting any requirements to make disclosure under any applicable laws and regulations;
    10. any other purpose which an applicant or Member may from time to time agree.
  3. The Club will keep personal data and information relating to applicants and Members confidential but the Club shall have absolute right to disclose, transfer (whether within or outside the Hong Kong Special Administrative Region) and/or exchange any such data and information to or with any and all of the following persons or entities :
    1. any member of the Group;
    2. any Relevant Person; and/or
    3. any agent, contractor or third party service provider who provides administrative, telecommunications, computer or other services to the Club or any member of the Group in connection with their respective operations or provision of facilities, services and/or products to Members.
  4. In particular, such personal data and information may be used for direct marketing of facilities, services and/or products offered by the Club, any member of the Group or any Relevant Person from time to time unless and until a written request is received from the relevant Member to stop using his/her data for direct marketing purposes.
  5. Each Member has the right to request access to and correction of any of his/her personal data. The Club has the right to charge a reasonable fee for the processing of any data access request. The Club will comply with any such request unless it may or is required to refuse to do so under the applicable laws and regulations.

APPLICABLE LAW

  1. These Terms and Conditions shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.

GOVERNING VERSION

  1. The English version of these Terms and Conditions shall prevail wherever there is any discrepancy between the English and Chinese versions.
